GENERAL TERMS AND CONDITIONS

These general terms represent the final and complete agreement between the parties. No term or condition that changes or modifies any provision herein shall be binding unless it is written, signed, and approved by an authorized representative of our company. No change to these terms shall be considered accepted due to shipment of goods following a purchase order, shipping request, or similar document from the buyer containing terms inconsistent with or additional to these. If any provision is declared invalid by a competent court, the remaining provisions shall remain in full force.

ACCEPTANCE OF ORDERS

All orders are subject to written price verification by authorized personnel, unless confirmed in writing as binding for a specific period. Shipment without such written price confirmation does not imply acceptance of the prices stated in the order.

PRICES

All quoted prices, including any transport charges, are valid for 10 days unless otherwise specified in a written quote or sales confirmation verified by authorized personnel. Even fixed prices may be withdrawn with written notice prior to the company’s confirmation. All pricing and delivery is FOB shipping point. We reserve the right to cancel orders if governmental regulations require lower selling prices than those quoted.

SHIPPING

Unless otherwise agreed, the choice of carrier and shipping route is at our discretion. We are not liable for delays or extra costs arising from our chosen method of shipment.

PAYMENT TERMS

Discounts apply only to the invoiced value of goods (not taxes or freight). We may require prepayment or financial guarantees if the buyer's financial condition justifies it. If the buyer fails to pay or breaches this agreement, we may cancel any undelivered portion of the order. The buyer remains liable for all unpaid balances.

TAXES & IMPORT/EXPORT LICENSES

All prices are exclusive of taxes. Taxes are the responsibility of the buyer, unless a valid tax exemption certificate is provided or if legally prohibited from charging such taxes. Buyers are responsible for obtaining necessary import/export licenses.

TITLE & RISK OF LOSS

Delivery to the carrier constitutes delivery to the buyer, and risk of loss or damage transfers at that point. Claims for damage during shipment must be filed directly with the carrier. Any claims to us must be made within 14 days of receipt and include the original bill of lading signed by the carrier noting the damage. Title and ownership remain with our company until full payment is received, including interest and fees. The buyer agrees to take necessary actions to secure our ownership rights.

LEGAL FEES

In the event of legal proceedings to recover unpaid balances or enforce any provision, the buyer agrees to cover all reasonable legal and collection fees in addition to damages.

LIABILITY

We are not liable for injuries or damages resulting from the use or misuse of our products, whether alone or in combination with other items. Claims for short or incorrect delivery must be submitted within 14 days of receipt with a signed bill of lading. If we confirm such a claim, we will either ship the missing quantity or issue a credit at our discretion.

REMEDIES & LIMITATION OF LIABILITY

We are not liable for incidental or consequential damages, losses, or expenses arising directly or indirectly from the sale, handling, or use of goods. Our liability is limited, at our discretion, to replacing nonconforming goods, refunding the purchase price, or repairing them. If goods are to be returned, this must be done per our instructions. These are the buyer’s exclusive remedies.

PRODUCT SELECTION

The buyer confirms that the products are suitable for their intended use and has not relied on our judgment for product selection or design. All use and installation must comply with applicable regulations. The buyer agrees to indemnify and hold us harmless from all related costs and liabilities, including legal fees.

COMPLIANCE

We declare that all goods provided are produced in accordance with French labor laws.

SHIPPING COSTS & RETURNS

Customers only pay shipping once (including returns). No restocking fees apply for returns.

If a parcel is destroyed due to customer-related issues (e.g., incorrect address, customs delays, unreachable address, incorrect phone number), we are not responsible. If the customer authorized the parcel to be left unattended (e.g., at the door, with neighbors), and it gets lost or stolen, we are not liable. Thank you for your understanding.
